**Terms and Conditions for Event and Ticket Purchase**

These Terms and Conditions (hereinafter referred to as "Terms") apply to all transactions involving the purchase of event tickets ("Tickets") facilitated by Apex Global Groups, Inc ("Apex Global Groups," "We," "Us," "Our", “Organizer” ). Please carefully review these Terms before proceeding with your purchase.

By clicking the button to complete your purchase or otherwise indicating your intent to purchase Tickets and subsequently finalizing your checkout, you are making an offer to purchase Tickets. This offer is subject to acceptance or rejection by Us. We reserve the right to decline your offer or cancel/vacate any Tickets purchased if providing coverage, benefits, or services under the Ticket, or in relation to the associated event or activity, would (1) contravene any applicable law or regulation, including but not limited to economic sanctions or embargoes, or (2) relate to any country subject to comprehensive economic and/or trade sanctions or embargoes imposed by the United States.

By initiating a request for Ticket purchase, you acknowledge, comprehend, consent to, and affirm the following:

- Any Tickets obtained through deliberate provision of inaccurate or fraudulent information shall be deemed void, and you may be subject to legal action as per applicable law.

- You acknowledge that We determine your jurisdiction based on geo-location data provided by you at the time of purchase. Any attempt to obscure, tamper with, or block your IP address may interfere with Our ability to ascertain your location accurately. You agree to disable any VPN blockers or similar devices that may hinder the accurate transmission of your IP address during purchase. You acknowledge that We cannot be held liable for any discrepancies in rates, notifications, or other policy-related matters arising from inaccurate transmission of location and IP data.

- All transactions conducted with Apex Global Groups are considered to be executed and fulfilled within the state of California, where Apex Global Groups is headquartered, and nowhere else. By purchasing Tickets, you and all covered individuals affirm that you are either residents of the United States subject to the laws of California or voluntarily subjecting yourselves to the jurisdiction of California for purposes of contract formation and performance. Any disputes arising from Ticket purchases from Apex Global Groups shall be governed by the substantive laws of California, without regard to its conflict of laws principles.

- The Ticket you have purchased provides coverage only for specific situations, events, and losses as outlined in the Ticket policy and subject to the conditions therein. Policy documentation is available via the provided link or upon request from Us. Any inquiries regarding coverage should be directed to Us prior to completing your purchase.

- No coverage is extended under the Ticket for any loss arising directly or indirectly from any known, foreseeable, intended, or expected loss, condition, or event at the time of Ticket purchase.

- Ticket prices are non-refundable. Please note that no refunds are available once the covered event has commenced, a claim has been filed, or the policy has expired. Refer to your Ticket for further details.

- By purchasing Tickets, you consent to the processing of your personal data in accordance with Our privacy policy, available at the provided link.

- By attending The Los Angeles Lantern Art Expo, you hereby grant Apex Global Groups the irrevocable, perpetual, worldwide right and permission to use your image, likeness, voice, and/or appearance as such may be embodied in any photos, video recordings, digital images, and the like, taken or made on behalf of Apex Global Groups. You agree that Apex Global Groups has complete ownership of such material and can use said material for any purpose consistent with the mission of Apex Global Groups, including but not limited to, marketing, advertising, and promotional activities. You acknowledge that you will not receive any compensation for the use of such images, recordings, or materials.

- You further consent to receiving all communications and documents electronically from Us, sent to the email address provided at the time of purchase.

No Reliance:

- In connection with your Ticket purchase, you acknowledge that you are not relying on any representations or statements made by Apex Global Groups or its affiliates, or their respective employees, agents, officers, or directors, except as expressly set forth in these Terms, and that your purchase decision is based on your independent judgment regarding the suitability of the Ticket.

Waiver of Jury Trial / Arbitration:

- Any disputes or claims arising out of or relating to this agreement and/or your purchase of a Ticket, including but not limited to alleged breaches of contract, negligence, or intentional misconduct, shall be resolved through binding arbitration under the Federal Arbitration Act. Arbitration proceedings shall be administered by the American Arbitration Association (AAA) and conducted in Los Angeles, California, in accordance with applicable AAA procedural rules.

Limitation of Liability:

- In no event shall Apex Global Groups or its affiliates, or their respective employees, agents, officers, or directors be liable for indirect, special, incidental, consequential, or punitive damages arising from or in connection with your purchase of a Ticket and your attendance at the event for which the ticket was purchased for, whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable. This limitation of liability does not affect any liability that cannot be excluded or limited under applicable law.

Waiver and Severability:

- No waiver by Apex Global Groups of any provision in these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Failure by Apex Global Groups to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
